Welcome to Sharegen. These Terms of Service ("Terms") govern your access to and use of the Sharegen website, platform, and services (collectively, the "Service") operated by Sharegen ("we," "us," or "our").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that:

• You are at least 16 years of age (or the age of majority in your jurisdiction).
• You have the legal capacity to enter into a binding agreement.
• You are not prohibited from using the Service under applicable laws.
• You will comply with these Terms and all applicable laws and regulations.

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Sharegen is an AI-powered video generation platform that enables users to:

• Upload product images and brand assets.
• Generate AI-powered concept images and variations.
• Create storyboards from generated concepts.
• Generate video content from images and storyboards.
• Export videos in various formats optimized for different platforms.

The Service uses third-party AI models and services to generate content. The quality, style, and output of AI-generated content may vary and is subject to the capabilities of these underlying technologies.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password for your account.
• Not share your account credentials with others.
• Notify us immediately of any unauthorized access or security breach.

3.3 Account Restrictions

You may only create one account per person. We reserve the right to suspend or terminate accounts that we believe violate these Terms or are being used fraudulently.

4. Subscription Plans and Credits

4.1 Plans

We offer various subscription plans, including free and paid tiers. Each plan includes a specific allocation of credits and features as described on our pricing page. We reserve the right to modify plan features and pricing at any time with reasonable notice.

4.2 Credits

Credits are used to generate content on the platform. Different actions consume different amounts of credits. Credits included in your subscription are refreshed according to your billing cycle. Unused credits may or may not roll over depending on your plan type.

4.3 Credit Purchases

Additional credits may be purchased separately. Purchased credits do not expire and are non-refundable except as required by law.

5. Payment and Billing

5.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

5.2 Payment Processing

All payments are processed securely through Stripe. We do not store your complete payment card information on our servers. By providing payment information, you represent that you are authorized to use the payment method.

5.3 Price Changes

We may change our prices at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following notice of the change.

5.4 Failed Payments

If a payment fails, we may retry the charge and/or suspend your access to paid features until payment is successfully processed.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have paid for.

6.2 Refund Policy

We offer a 14-day money-back guarantee on all new paid subscriptions. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial purchase by contacting support@sharegen.com.

Refunds are not available for:

• Requests made more than 14 days after purchase.
• Subscription renewals (only first-time purchases qualify).
• Separately purchased credit packs.
• Accounts terminated for Terms violations.

6.3 Downgrading

You may downgrade your plan at any time. Downgrades take effect at the start of your next billing cycle. No prorated refunds are provided for downgrades.

7. User Content

7.1 Your Content

"User Content" refers to any images, text, prompts, or other materials you upload, submit, or create using the Service.

7.2 Ownership

You retain all ownership rights to your User Content. We do not claim any ownership over the content you upload or the videos generated for you.

7.3 License to Sharegen

By uploading User Content, you grant Sharegen a limited, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or account.

7.4 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to use and upload your User Content.
• Your User Content does not infringe any third party's intellectual property or other rights.
• Your User Content complies with these Terms and all applicable laws.

8. AI-Generated Content

8.1 Ownership of Generated Content

Subject to your compliance with these Terms and the rights of any third parties, you own the AI-generated images and videos created using the Service based on your User Content and prompts.

8.2 No Guarantees

AI-generated content is created using machine learning models and may not always meet your expectations. We do not guarantee:

• The accuracy, quality, or suitability of generated content.
• That generated content will be unique or not similar to other content.
• That generated content will be free from errors or artifacts.

8.3 Your Responsibility

You are solely responsible for reviewing and using AI-generated content appropriately. You should verify that generated content is suitable for your intended use before publishing or distributing it.

9. Acceptable Use Policy

You agree not to use the Service to:

• Create content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Generate content depicting minors in inappropriate situations.
• Create deepfakes or misleading content intended to deceive others about real people or events.
• Infringe on any third party's intellectual property, privacy, or other rights.
• Impersonate any person or entity or misrepresent your affiliation.
• Distribute spam, malware, or other harmful content.
• Attempt to gain unauthorized access to the Service or its systems.
• Interfere with or disrupt the Service or servers.
• Use automated means to access the Service without our permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell or redistribute the Service without authorization.
• Violate any applicable laws or regulations.

We reserve the right to remove content and suspend or terminate accounts that violate this Acceptable Use Policy.

10. Intellectual Property

10.1 Sharegen's IP

The Service, including its design, features, code, and content (excluding User Content), is owned by Sharegen and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our written permission.

10.2 Trademarks

"Sharegen" and our logos are trademarks of Sharegen. You may not use our trademarks without our prior written consent.

10.3 Feedback

If you provide us with feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation to you.

11. Third-Party Services

The Service integrates with and relies on third-party services, including:

• AI model providers for content generation.
• Cloud infrastructure providers for hosting and storage.
• Payment processors for billing.
• Authentication providers for account security.

Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the actions, content, or practices of third parties.

12. Service Availability and Modifications

12.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

12.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for significant changes that materially affect your use of the Service.

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting your account in your settings or by contacting us. Upon termination, you will lose access to your account and content.

13.2 Termination by Us

We may suspend or terminate your account at any time if:

• You violate these Terms or our Acceptable Use Policy.
• We are required to do so by law.
• Your account has been inactive for an extended period.
• We discontinue the Service (with reasonable notice).

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data and content in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your specific requirements.
• The Service will be uninterrupted, timely, secure, or error-free.
• AI-generated content will be accurate, reliable, or suitable for any purpose.
• Any errors in the Service will be corrected.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREGEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Sharegen and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Service.
• Your User Content.
• Your violation of these Terms.
• Your violation of any rights of another party.

17. Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

17.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@sharegen.com to attempt to resolve the dispute informally.

17.3 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of Singapore, and you consent to the personal jurisdiction of such courts.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sharegen regarding the Service and supersede any prior agreements.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign our rights and obligations without restriction.

18.5 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
